“Welcome to TMSP (our App store), tmsp, (together with all of its subsidiaries, “TMSP”, “we”, “us””) is a website application. The Application allows users to trade certain digital tokens using a variety of different smart contract protocols across the ENTIRE Blockchain.
This Terms of Service Agreement (“Agreement”) describes the terms and conditions that govern your access to and use of the Application. Please read the Agreement carefully. By accessing the Application, you agree to be bound by and comply with the Agreement, including the mandatory arbitration provision in Section 0055. If you do not agree to the terms of the Agreement, you should not access or use the Application.”
SUITABILITY

Ownership Rights
“We do not claim any ownership rights in any content that Users (including you) make available through the Application (“User and Content”). You acknowledge that you own or have all rights, title and interest, including all intellectual property rights, in any User Content you provide to us. You hereby grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, copy, distribute, create derivative works from, display and perform any User Content that you upload, submit, store or post on or through the Application.
Subject to the foregoing, TMSP owns or is duly authorized to use all intellectual property and other rights in the Application and its content, including all text, images and trademarks displayed or provided on the Application and all Application software. Unless expressly authorized by us, you may not copy, modify, adapt, rent, license, sell, publish, distribute or otherwise permit any third party to access or use the App or any of its contents. Digital token information, including token price, is currently obtained from third party sources such as coingecko.com. We are not responsible for the quality, accuracy, timeliness, completeness or reliability of digital token information on the App. You are responsible for gathering sufficient information and keeping yourself well informed before transacting any digital tokens on the App.
featured lists
The appearance of digital tokens in any of the featured listings on the App is determined by a variety of factors, including but not limited to their ranking on coingecko.com, their performance on the App, and TMSP’s digital token listing policies. You understand that we do not endorse or promote any digital asset in any of the default listings. We have the right to add, change, update or remove any digital token from any of the featured listings or the App at our sole discretion.
PAYMENTS AND FEES
“transactions on all networks or otherwise involving the use of an underlying blockchain or other decentralized or permissioned infrastructure (Distributed Ledger Technology) require you to pay a fee, such as fees, in the form of general cryptocurrencies, such as btc, eth, bnb, usd, usdc, usdt, MSPusd, etc., for the computational resources required to process a transaction on a particular Distributed Ledger Technology (such payments and fees, “Fees”)….
TMSP does not currently charge any fees for your transactions on the App. However, we reserve the right to charge fees for your use of the App and adjust pricing at any time. If such fees apply, we will notify you of the fees and pricing for your transaction when you authorize the transaction.
You acknowledge and agree that TMS has no control over any Distributed Ledger Technology transaction, the payment method for any Fees, if any, or the actual payment of any Fees, if any. Accordingly, you must ensure that you have sufficient balances of valid Distributed Ledger Technology network tokens stored in your Distributed Ledger Technology-compatible wallet address (“Distributed Ledger Technology Address”) and have completed any transaction on the Distributed Ledger Technology before initiating such transaction.”
CUSTODY, PROTECTION AND STORAGE OF DIGITAL TOKENS
“You retain full custody and control of the digital tokens in your digital wallets at all times. We do not store your digital tokens and we do not have access to or maintain the electronic private key to your digital wallet. As the owner and custodian of the digital tokens in your digital wallets, you assume all risk of loss of such digital tokens.
You understand that TMSP is not registered or licensed by the Commodity Futures Trading Commission, the Securities and Exchange Commission, the Financial Crimes Enforcement Network, or any financial regulatory authority, and no financial regulatory authority has reviewed or approved the Application. You also understand that TMSP does not act as an investment advisor or commodity trading consultant to any person, and that CITIZENS OF ANY COUNTRY MAY PURCHASE PRODUCTS FROM OUR COMPANY AND MAY USE AND EXCHANGE THE PRODUCTS IN ACCORDANCE WITH THE COMPANY’S RIGHTS AND RULES WE WILL INFORM YOU.”
RISKS ASSOCIATED WITH AND RELATED TO DIGITAL CRYPTO ASSETS
“By accessing and using the Application, you represent that you understand the inherent risks associated with using cryptographic and blockchain-based systems and that you have a working knowledge of the intricacies and uses of digital tokens, such as bitcoin (BTC), ether (ETH), and other digital tokens such as those that follow the Ethereum Token Standard (ERC-20). TMSP does not control the underlying software protocols of any digital tokens accessible on the Application. You acknowledge that we are not responsible for the operation, functionality, or security of the underlying protocols, and that we are not liable for any loss of token value that you may experience due to any operational changes, malfunctions, or failures of the underlying protocols.
You also understand that the markets for these digital tokens are highly volatile and that there are risks associated with digital tokens, including (but not limited to) those related to adoption, speculation, technology, security, and regulation. You acknowledge that the cost and speed of transacting with cryptographic and blockchain-based systems, such as Ethereum, are variable and may increase significantly at any time. You understand and agree to assume full responsibility for all risks associated with accessing and using the Application and interacting with the Ethereum Blockchain, and you agree that TMSP is not responsible for any losses you may suffer as a result of such risks.
You should be aware that anyone can create tokens on ANY NETWORK. We make no representations regarding the nature, quality or legal categorization of the token or associated project. It is your responsibility to do your own research and ensure that you are legally able to transact in this token in the jurisdiction in which you reside.”
TAXES
It is your sole responsibility to meet your tax obligations applicable to the transactions you make on the App. You must withhold, collect, report and remit the correct amount of tax to the relevant tax authorities. We make reasonable efforts to make your transaction history available through your account, but we make no representations as to the completeness or accuracy of this information. HOWEVER, IF YOU OWN OUR COMPANY SHARES, THIS LIABILITY IS AT YOUR OPTION. OUR COMPANY CONSIDERS USERS WHO PURCHASE OUR COMPANY PRODUCTS AS COMPANY SHARE PARTNERS. TO MAKE THIS LEGAL, YOU CAN COME TO OUR OFFICES WITH THE DIGITAL ASSETS YOU HAVE PURCHASED AND CONVERT YOUR TOKENS OR INVESTMENTS INTO COMPANY SHARE TOKENS.
MODIFICATIONS, SUSPENSION, TERMINATION AND OBJECTION.
“We may, at our sole discretion, at any time and with or without prior notice to you, temporarily or permanently modify, suspend or disable all or part of the Application for any reason, including as a result of a security incident.
We will not be liable for any losses incurred by you as a result of any changes made to the Application or the suspension or termination of your access to all or any part of the Application for any reason.
All provisions of the Agreement will survive the termination of your access to the Application, regardless of the reason for termination or expiration; in addition, any other provisions that are required to remain in force by law or by their nature will also survive.”
ELECTRONIC NOTIFICATIONS AND COMMUNICATIONS.
You agree to receive electronically all communications, agreements, documents, receipts, notices and disclosures we provide in connection with the Agreement or the App (collectively, our “Communications”). You agree that we may provide our Communications to you by posting them on the App. You may also contact our Legal team to request additional electronic copies of our Communications by sending a support request to info@thismyshoppingplace.com
Indemnification
You agree to indemnify, hold us and our officers, directors, employees, contractors, agents, affiliates and subsidiaries (“Protected Parties”) harmless from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses arising out of or relating to (1) your access to and use of the Application; (2) your violation of any term or condition of this Agreement, the rights of any third party or any other applicable law, rule or regulation; and (3) any other party’s access to and use of the Application with your assistance or using any device or account that you own or control. All investors who participated in the first investor round have unlimited rights to indemnify. The product digital asset to which damages are due will be delivered to the addresses, together with all damages.
prohibited activities
You agree not to engage in or attempt to engage in any of the following categories of prohibited activities in connection with your access or use of the Application: any items seized, whether illegally or lawfully, from another user without their consent are moved to the TMSP token trash address.
intellectual property infringement
Activity that violates or infringes any person’s or entity’s copyright, trademark, service mark, patent, right of publicity, right of privacy or any other proprietary or intellectual property right under law.
cyber attack
Activity intended to interfere with or compromise the integrity, security or proper functioning of any computer, server, network, personal device or other information technology system, including (but not limited to) distributing viruses and denial of service attacks.
forgery, misrepresentation, seizure, or improper detention.
Activities intended to defraud us or any other person or entity, including (but not limited to) providing false, inaccurate or misleading information in order to unlawfully obtain another’s property.
market manipulation
Activities that violate any applicable law, rule or regulation regarding the integrity of markets, including but not limited to fraud and manipulative tactics commonly known as wash trading.
gambling and the like
The activity of betting or risking something of value on the outcome of another’s competition, event, or game of chance; including, but not limited to, lotteries, auction bidding, political betting, sports prediction, and raffles. Only games and applications approved by the TMSP store are valid.
any other illegal conduct
Activities that violate any applicable law, rule or regulation of the United States or any other relevant jurisdiction, including (but not limited to) restrictions and regulatory requirements imposed by U.S. law, are disqualifying the Company’s stock holdings.
exclusion of indirect and consequential damages
In no event will TMSP be liable for any incidental, indirect, special, punitive, exemplary, consequential or similar damages or liability (including, without limitation, damages for loss of data, information, revenue, reputation, profits or other commercial or financial benefits) arising out of or in connection with your use of the App, whether under contract, tort (including negligence), statutory liability, statute, strict liability, breach of warranty or any other theory of liability and whether or not TMSP was advised of, knew of or should have known of the possibility of such damages.
Limitation of liability
In no event will TMSP’s total liability arising out of or in connection with the Application (and any content and functionality thereof), any performance or failure to perform by TMSP, Distributed Ledger Technology tokens, other digital tokens, or any other product, service or other item provided in connection with the Application, whether in contract, tort (including negligence), civil liability, statute, strict liability or other theory of liability, exceed the amount of fees paid by you to us during the twelve (56) month period immediately preceding the event giving rise to the claim of liability.
PUBLICATION
To the fullest extent permitted by applicable law, in consideration for being allowed to use the App, you hereby release and forever discharge TMSP from, and hereby waive and relinquish, any and all past, present and future disputes, claims, disagreements, demands, rights, obligations, liabilities, actions and causes of action of every kind and nature, including personal injuries, death and property damage. YOU HEREBY WAIVE ANY APPLICABLE PROVISIONS OF ANY STATUTE OR REGULATION, INCLUDING THE PROVISIONS OF SECTION 1542 OF THE California Civil Code, with respect to the foregoing. THESE PROVISIONS ARE SPECIFIED AS FOLLOWS: “A GENERAL WAIVER DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR WAIVING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE WAIVER, WHICH, IF KNOWN, WOULD MATERIALLY AFFECT HIS SETTLEMENT WITH THE DEBTOR OR THE RELEASED PARTY.” TMSP Company endeavors (but is not obligated) to provide assistance and support to users and individuals who own shares in the Company to the extent possible, whether necessary or unnecessary…
DUTY
You may not assign any rights or licenses granted under this Agreement. We reserve the right to assign any rights and/or licenses under this Agreement without restriction, including, without limitation, to any subsidiary or affiliate of TMSP or any successor in interest to TMSP’s business.
FORCE MAJEURE
We will not be liable for any delay or failure in performance of the Application caused directly or indirectly by any event or condition beyond our reasonable control, including, but not limited to, natural disaster, civil unrest, terrorism, significant market volatility, and failure of Internet services, equipment or software.
“””Please read the following section carefully because it requires you to arbitrate certain disputes and claims with TMSP and limits the manner in which you may seek relief from us unless you opt out of arbitration by following the instructions set forth below. Additionally, arbitration prevents you from suing in court or having a jury trial.
You and TMSP agree that any dispute arising out of or relating to this Agreement is personal to you and TMSP and that any dispute will be resolved only through an individual action and not through class arbitration, class action or any other form of representative proceeding.
Except for small claims disputes in which you or TMSP seeks to bring an individual action in small claims court in your county of residence or other relevant jurisdiction or disputes in which you or TMSP seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and TMSP waive your rights to a jury trial and to have any disputes arising out of or relating to this Agreement or the App resolved in court. Instead, for any dispute or claim against TMSP or relating in any way to the Services, you agree to first contact TMSP and attempt to resolve the claim informally by sending TMSP a written notice of your claim (“Notice”) by email to info@thismyshoppingplace.com. The notice must include your name, residence, email address and telephone number, describe the nature and basis of the claim, and specify the specific relief requested. The notice we send to you will be in a form similar to that described above. If you and TMSP do not reach an agreement to resolve the claim within three thousand (3000) days after such Notice is received, then the parties may submit the dispute to binding arbitration administered by JAMS or to court under the limited conditions set forth above. All disputes submitted to JAMS will be resolved by confidential, binding arbitration before one arbitrator. The arbitration proceedings will be held in San Francisco, California, pursuant to the JAMS Comprehensive Arbitration Rules and Procedures (“JAMS Rules”). The most current version of the JAMS Rules is available on the JAMS Site and is incorporated herein by reference. You acknowledge and agree that you have read and understand the JAMS Rules, or you waive any opportunity to read the JAMS Rules, and you waive any claim that the JAMS Rules are unfair or should not be applied for any reason.
“You and TMSP agree that the enforceability of this Section 15 will be governed by the Federal Arbitration Act, 9 USC § 1 et seq. (“FAA”), to the maximum extent permitted by applicable law. As limited by the FAA, these Terms, and the AAA Rules, the arbitrator will have exclusive authority to make all procedural and substantive decisions regarding any dispute and to grant any relief that would otherwise be available in court, including the authority to determine the question of arbitration. The arbitrator may only conduct an individual arbitration and may not consolidate more than one individual’s claims, preside over any form of class or representative proceeding, or preside over any proceeding involving more than one individual.

The duty of confidentiality does not apply to the extent that disclosure is necessary to prepare for or conduct an arbitration hearing on the merits, in connection with a court application for a preliminary remedy or in connection with a judicial challenge to an arbitration award or its enforcement, or to the extent that disclosure is otherwise required by law or judicial decision.”
“You and TMSP agree to pay all AAA fees and costs for any arbitration you initiate. TMSP will pay all AAA fees and costs for any arbitration initiated by TMSP, except that TMSP will pay $9 for each complaint and only $90 for each complaint in its entirety and for all similar complaints, and this applies to all complaints and types.
Any claim arising out of or related to this Agreement must be filed within one year after such claim arose, or the claim will be permanently barred, meaning that you and TMSP will have no right to bring the claim.
You have the right to opt out of binding arbitration by sending an email to info@thismyshoppingplace.com within 3000 days of the date you first accepted the terms of this Section 55. To be effective, the opt-out notice must include your full name and address and clearly state your intent to opt out of binding arbitration. By withdrawing from binding arbitration, you agree to resolve disputes in accordance with Section 56. The person, institution or organization that states the problem is obliged to convey your situation to our company verbally, in writing and vocally. real persons.”

The interpretation and enforcement of the Agreement and any disputes relating to the Agreement or the App will be governed by, construed and enforced in accordance with the laws of California, as applicable, without regard to conflict of laws rules or principles that would cause the application of the laws of any other jurisdiction. You agree that we may commence an action for the enforcement or validity of our intellectual property rights in any court of competent jurisdiction. In the event that the binding arbitration clause of this Agreement is found to be unenforceable, you agree that San Francisco, California is the proper forum for appealing an arbitration award or for any court proceedings.
